Lectric eBikes Manufacturer's Limited Warranty

Subject to the terms and conditions of this Limited Warranty (this “Warranty”), Lectric eBikes LLC (Lectric”) warrants to each owner (then-current and previous) of the Lectric eBike (collectively, the “Owner” or “you”) located in Canada covered by this Warranty (the “Warranted eBike”) that the parts of such eBike described in Section 1 of this Warranty as the “Covered Parts” will be free from defects in workmanship and materials when used or operated in accordance with Lectric’s Terms of Service or the one (1) year period commencing on the original delivery date of such eBike to the first Owner as shown in the records of Lectric (the “Warranty Period”).

1.  The Covered Parts:  The Covered Parts consist of the frame, forks, stem, handlebars, headset, seat post, saddle, brake calipers, brake adapter for mounting, brake levers, lights, bottom bracket, crank set, pedals, pedal assist sensor, axles, wheel hub, rims, freewheel, cassette, derailleur, shifter, motor, throttle, controller, battery (including without limitation extended-life battery, if purchased), battery plates, battery isolator, wiring harness, display, kickstand and hardware.

2.  The Exclusions:  Each of the following are excluded from coverage under this Warranty (collectively, the “Exclusions”):

·       eBike accessories, whether sold on Lectric’s website(s) or otherwise;

·       Each eBike part that is not one of the Covered Parts, including without limitation wear parts such as, but not limited to, the chain or belt, tires, wheels, spokes, tubes, battery handle, reflectors, brake rotors, brake pads, brake cables, brake housings and grips;

·       Customary wear and tear;

·       Injuries and damage caused by or resulting from in whole or part any or all of the following with respect to the Warranted eBike: (a) failing to follow instructions or warnings in the written materials or labels accompanying such eBike, (b) improper assembly or maintenance, (c) modification(s) or alteration(s) not expressly authorized by Lectric, (d) installation, repair or use of parts or accessories not intended by Lectric or incompatible with such eBike or each other, (e) user error, (f) misuse, (g) abuse, (h) neglect (including without limitation improper storage or failure to properly maintain), (i) inappropriate use (such as, but not limited to, extreme or stunt riding), (j) damage caused by environmental factors such as water, water vapour, salt, or corrosion (including without limitation rust), (k) acts of God (such as, but not limited to, fire, floods, tornados, hurricanes or earthquakes), (l) severe conditions (including without limitation exposure to excessive wet, hot or cold environments), (m) theft, (n) accidents, (o) power surges and (p) overcharging or use of chargers other than that or those approved by Lectric; and

·       Compensation for time and efforts (whether by the Owner or anyone acting on behalf of the Owner) associated with (a) making claims under this Warranty or asserting breach of warranty, (b) loss of use of the Warranted eBike or any part(s) or accessories thereof or (c) labor related to disassembly of each allegedly defective portion or installation of its replacement.

3.  The Exclusive Remedy: 

IF YOU ARE A CONSUMER SUBJECT TO THE QUEBEC CONSUMER PROTECTION ACT, THE WARRANTY LIMITATION CONTAINED IN THIS SECTION DOES NOT LIMIT YOUR RIGHTS AND REMEDIES UNDER SUCH ACT, INCLUDING THE RIGHT TO MAKE A CLAIM UNDER ANY OF THE STATUTORY WARRANTIES PROVIDED UNDER SECTIONS 34 TO 54 OF SUCH ACT.

For the Warranted eBike or its part(s) treated by Lectric under this Warranty as defective within the Warranty Period (regardless whether it or they are in fact defective), Lectric or its designee will, at its option, repair or replace such eBike or part(s) at no expense to you, provided that, if so requested by Lectric’s furnishing you with a shipping label, you, using such label, will arrange for shipping such eBike or part(s) to Lectric or its designee for inspection and repair or replacement in timely fashion.  As determined by Lectric, each such replacement or each such replacement used in such repair will be of (a) the same, (b) substantially equal or (c) greater in value and quality than what was used originally.  Each such repair and replacement (i) is covered by this Warranty for the remainder of the Warranty Period and (ii) does not extend such period.  The remedy described in this Section 3 of this Warranty is the sole and exclusive remedy for claims under this Warranty (the “Exclusive Remedy”).

4.  LIMITATIONS: 

IF YOU ARE A CONSUMER SUBJECT TO THE QUEBEC CONSUMER PROTECTION ACT, THE EXCLUSION OF WARRANTIES CONTAINED IN THIS SECTION DOES NOT LIMIT YOUR RIGHTS AND REMEDIES UNDER SUCH ACT, INCLUDING THE RIGHT TO MAKE A CLAIM UNDER ANY OF THE STATUTORY WARRANTIES PROVIDED UNDER SECTIONS 34 TO 54 OF SUCH ACT. THE LIMITATIONS OF LIABILITY CONTAINED IN THIS SECTION DO NOT RELEASE LECTRIC FROM THE CONSEQUENCES OF ITS GROSS OR INTENTIONAL FAULT, OR THE CONSEQUENCES OF ITS OWN ACTIONS OR THE ACTIONS OF ITS REPRESENTATIVES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS WARRANTY, PLUS AN IMPLIED WARRANTY OF MERCHANTABILITY, IS IN LIEU OF ALL OTHER EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS, OBLIGATIONS OR LIABILITIES, INCLUDING, BUT NOT LIMITED TO, EACH IMPLIED WARRANTY OF FITNESS FOR PARTICULAR PURPOSE.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH WARRANTY, IF ANY, THAT IS FOUND TO ARISE BY WAY OF FEDERAL, PROVINCIAL OR TERRITORIAL LAW IS LIMITED TO AND DOES NOT EXTEND BEYOND EITHER AND BOTH OF THE SCOPE OF THIS WARRANTY AND THE WARRANTY PERIOD.  EACH CLAIM UNDER THIS WARRANTY MUST BE BROUGHT DURING THE WARRANTY PERIOD, AND EACH ACTION FOR BREACH OF WARRANTY MUST BE BROUGHT NO LATER THAN THIRTY (30) DAYS AFTER THE WARRANTY PERIOD (the latter period together with the Warranty Period is the “Claims Period”). EXCEPT AS PROVIDED IN THIS WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO CASE WILL LECTRIC BE LIABLE FOR ANY OR ALL DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, GENERAL, SPECIAL, INCIDENTAL AND CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, TRANSACTION LOSSES, OPPORTUNITY COSTS, INTERRUPTION OF BUSINESS, PERSONAL INJURY (INCLUDING BODILY HARM AND DEATH), OR COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES) RESULTING FROM, ARISING OUT OF, OR IN ANY WAY RELATING TO ANY GOODS OR SERVICES PROVIDED BY LECTRIC, BREACH OF THIS WARRANTY OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED, WHETHER TO THE OWNER OR ANYONE ELSE, REGARDLESS OF THE FORM OF THE CLAIM OR ACTION, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE OR OTHERWISE, AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEN, UNFORESEEN, OR FORESEEABLE.  THE EXCLUSION OF DAMAGES HEREIN WILL BE INDEPENDENT OF ANY FAILURE OF THE ESSENTIAL PURPOSE OF ANY WARRANTY.  No agent, representative or employee of Lectric or anyone else has the authority to increase or alter the obligations of this Warranty.

Some provinces or territories do not allow limitations on how long an implied warranty lasts, so the limitations described above may not apply to you.  Some provinces or territoriesdo not allow the exclusion or limitation of incidental or consequential damages, so the above exclusion may not apply to you.  This Warranty gives you specific legal rights, and you may also have other rights which vary from province to province or territory to territory. Residents of Quebec are governed by that province’s consumer protection legislation.

 

5.  Warranty Claims:  All claims under this Warranty must be made in writing or electronically (a) by the then-current Owner and (b) within the Warranty Period.  To start such a claim, please contact Lectric online support at contact@lectricebikes.ca.  You may be required (i) to provide evidence of ownership or purchase (such as, but not necessarily limited to, when the then-current Owner is not the original purchaser) and (ii), to assist with accurately diagnosing the apparent problem, send photographic evidence and additional documentation (such as, but not limited to, video).  You also may be required to ship at Lectric’s expense each product or part in question to Lectric or its designee for inspection and repair or replacement. If the Warranted eBike or its part(s) require repair or replacement services by a local bike shop, you must first contact Lectric to obtain a pre-authorization before proceeding with repair or replacement services at such local bike shop. Lectric may ask you to provide information including without limitation a description of the repair or replacement services that need to be carried out, a quote from such local bike shop and its contact information. After the pre-authorized local bike shop completes its repair or replacement services and Lectric receives of an invoice thereof, Lectric will reimburse or refund you or the pre-authorized local bike shop, at Lectric’s sole discretion, for the pre-authorized repair or replacement services. The failure to provide any evidence, documentation and product or part requested by Lectric in timely fashion may result in delayed response(s) from Lectric or denial of the warranty claim.  For purposes of this Warranty, a warranty claim is “made” the when Lectric has (A) received written or electronic notice of such claim as described in this Warranty, (B) received (as determined by Lectric) reasonably sufficient information and materials (including without limitation if so requested, such product(s) or part(s)) to evaluate such claim and (C) expressly acknowledges the receipt of such notice and such information and materials in writing or electronically.  Each shipment to Lectric or its designee not authorized by Lectric in advance may be refused or ignored.

Once a warranty claim has been (1) made, (2) entered in Lectric’s system and (3) approved by Lectric, Lectric, as soon as it determines that it is feasible to do so, will ship the relevant repaired product or replacement part(s) at Lectric’s cost to the address provided by the then-current Owner in the Canada or the address of a pre-authorized local bike shop.  Approval of a warranty claim [a] may be based on preserving customer goodwill or other factors and [b] does not constitute an admission on the part of Lectric.

6.  Additional Information:  Please note:

·       Do not send personal items or products other than those sold by Lectric that you wish to retain, such as things used for packing or protection.  (Such items or products will not be returned.)

·       Lectric will cover shipping charges associated with either (a) sending you or a pre-authorized local bike shop each product or part that Lectric repairs or replaces and (b) returning to you each Lectric product or part you submit using the shipping label provided by Lectric if Lectric determines that such product or part is not covered by this Warranty (unless you tell Lectric not to return such product or part to you).

·       When a Lectric item sent to Lectric for inspection and repair or replacement is replaced by Lectric, such item sent cannot be returned to you.

·       From time to time, supply chain delays or other issues may affect the provision of repairs or replacement parts.

·       Your insurance policy or policies may not provide coverage for theft or accidents and are solely a matter between you and each relevant insurance company or agent.

7.  Enforcement:

IF YOU ARE A QUEBEC CONSUMER AS THE TERM IS DEFINED UNDER THE CONSUMER PROTECTION ACT (CQLR C P-40.1), THE STIPULATION THAT THESE TERMS ARE SUBJECT, IN WHOLE OR IN PART, TO A LAW OTHER THAN AN ACT OF THE PARLIAMENT OF QUÉBEC OR OF CANADA DOES NOT APPLY.

This Warranty, as well as any and all claims or causes of action arising out of or relating to this Warranty (regardless whether in contract or tort or by statute), shall be governed by and interpreted under the laws of the province of British Columbia without regard to that province’s conflicts of laws provisions, except that, to the extent otherwise applicable, the United Nations Convention for the International Sale of Goods does not apply.  The claims process described in Section 5 of this Warranty must be completed and a decision received from Lectric regarding approval of each claim prior to initiating any action to seek legal or equitable remedies for breach of warranty. Any action for breach of warranty must be commenced no later than the end of the Claims Period. Some provinces do not permit reduction of the statute of limitations, so such limitation on commencement may not apply to you. Legal disputes relating to any or all of this Warranty, breach of warranty and representations by Lectric of any kind will be resolved in the courts of the province of British Columbia, in the City of Vancouver, and the parties submit to the exclusive jurisdiction thereof. Any authorization or performance of repairs, attempt to resolve a compliant or filing of a claim under this Warranty will not (A) constitute a waiver of Lectric’s rights or (B) extend the Warranty Period or (C) when the Owner must commence an action to enforce any breach of warranty or other claim, unless prohibited by applicable law. Except to the extent expressly prohibited by applicable law, the interpretation of this Warranty by Lectric will control.

8.  Acceptance of Terms:  By performance or the acceptance of performance under this Warranty, the Owner accepts and agrees to the terms and conditions of this Warranty.

9.  Modification:  If, in the view of Lectric, applicable law contains or may contain any requirement(s) or other provision(s) that is or are contrary to, in conflict with or missing from any provision(s) or part(s) thereof in this Warranty (collectively, the “Identified Provisions”), Lectric, at any time, may elect by notice from Lectric to the Owner (effective upon receipt thereof or as otherwise designated by Lectric) that such requirement(s) or provision(s) be deleted from, substituted for or added to the Identified Provisions to the minimum extent necessary in the opinion of Lectric to address the issue(s). 

10. Prior Orders:  If the Warranted eBike was ordered from Lectric prior to the last revised date of this Warranty as stated above, such Warranted eBike is subject to the Limited Warranty that was effective as of the date of the original purchase, which can be requested from contact@lectricebikes.com.
